\r\nNuLifeSpan Rx expects its employees, vendors, contractors, and partners to comply with all laws and regulations\r\n governing prescription drug discount cards. This includes providing clear and consistent information to discount\r\n card members, with particular regard to the following points:
\r\nThe federal government and many state governments have adopted laws that prohibit conduct that can cause fraud,\r\n waste, and abuse in healthcare programs. Whether certain laws apply to a business arrangement or a product\r\n depends on the facts, by NuLifeSpan Rx requires and expects its vendors, contractors, and partners to comply with\r\n these laws, consider the implications of them in all business dealings, and engage in ethical busines practices.\r\n

\r\nWaste
\r\nAbuse
\r\nTo ensure appropriate business relationships, NuLifeSpan Rx requires its vendors, contractors, and partners to\r\n specifically refrain from the type of conduct prohibited by the following federal laws:
\r\nDON'T offer money, gifts, kickbacks, bribes or anything else of monetary value to doctors,\r\n nurses, pharmacists, pharmacy techs or interns, or other healthcare providers or pharmacy employees to promote\r\n NuLifeSpan Rx, the Program or any white-labeled service of NuLifeSpan Rx (or otherwise) or to enroll members in the\r\n Program or the NuLifeSpan Rx Program.
\r\nDON'T use ANY marketing materials that have not be pre-approved by NuLifeSpan Rx. That means web\r\n sites, physical cards, emails, faxes, flyers, text messages, apps or any other kind of marketing or solicitation\r\n materials you can think of.
\r\nDON'T use the trademarks, names, or logos of other businesses in your marketing materials\r\n unless you have the right (a license) to do so and unless your marketing materials have been approved by Rx\r\n Hacker.
\r\nDON'T imply or state that the Program is insurance coverage or a replacement for insurance.\r\n
\r\nDON'T charge a fee for participation in the Program. The Program is free to consumers.
\r\nDON'T make any statements about the NuLifeSpan Rx Program that we have not expressly approved.
\r\nDON'T ignore compliance or think “Someone else is handling that.” Compliance is everyone's\r\n responsibility, including yours.
\r\nDO engage in open and honest marketing efforts. Explain the value of doing business with the\r\n Program to offer prescription discounts.
\r\nDO communicate clearly regarding prescription drug discount cards and how the NuLifeSpan Rx\r\n program works.
\r\nDO report to NuLifeSpan Rx any instance in which you become aware of a pharmacist demanding or\r\n receiving money or anything of monetary value for agreeing to promote NuLifeSpan Rx, the Program or any competing\r\n managed pharmacy program.
\r\nDO take compliance seriously. Conduct yourself in an ethical and legal manner. Act fairly and\r\n honestly in all business dealings.
\r\nDO act in a manner that does not conflict with, contradict, or otherwise misrepresent Honest\r\n Discount's mission and vision.

\r\nNuLifeSpan Rx expects its vendors, contractors, and partners to protect all data and information related to Rx\r\n Hacker's business; and to comply with all applicable laws pertaining to the confidentiality, privacy, data\r\n security, and data use as set forth in our agreements.
\r\nNuLifeSpan Rx may conduct oversight of the services you perform to ensure that you are complying with the\r\n requirements explained in this Compliance Standards and applicable laws, rules, and regulations. NuLifeSpan Rx may\r\n periodically ask you to complete a self-assessment, survey, and/or attest to applicable policy, procedure and\r\n compliance requirements. NuLifeSpan Rx may also perform on-site audits or inspections of facilities, procedures, and\r\n records that relate to the services provided under your contractual agreement.
\r\nReporting compliance concerns is everyone's responsibility. You play a vital part in preventing, detecting, and\r\n reporting potential noncompliance. Please report any suspected cases of noncompliance without fear of\r\n retaliation or retribution for reports made in good faith:
\r\nI understand that any violation of these Standards is a violation of the terms and conditions of my Agreement with NuLifeSpan Rx, and could result in the enforcement of legal remedies against me, including, but not limited to, termination of my Agreement with NuLifeSpan Rx and the forfeiture of any amounts due thereunder. I further understand that a violation of these Standards may also subject me to federal and state civil and/or criminal culpability.
\r\nI also understand that no statement contained in these Standards creates any guarantee of continued contract or employment, or creates any obligations, contractual or otherwise, on the part of NuLifeSpan Rx. These Standards are not promissory and do not set terms or conditions of employment or create an employment contract.
\r\nNuLifeSpan Rx LLC (“NuLifeSpan Rx”) and the undersigned Marketer have a mutual desire to maintain effective compliance\r\n and ethics programs in support of the pharmacies who administer the prescription discount program provided by Rx\r\n Hacker LLC (the “NuLifeSpan Rx Program”) and the patients who use these programs. That's it. Nothing more. As we said earlier in this description, we don’t provide medical, dental, or other professional advice or services. We aren't health insurance and don't offer health insurance. We don't pay your medical expenses and we don't pay for your prescriptions.
\r\n- We cannot guaranty that any such discounts will provide the lowest price available to you and there is a wide range discounts that vary depending on the prescription drug or other product and the participating pharmacy.
\r\n- You are required to pay for all prescription drugs at the time of purchase.
\r\n- We do not pay the pharmacy or your doctor or make any other payments to your health care providers.
\r\n- Discounts through the NuLifeSpan Rx Program are only available at participating pharmacies.
\r\n- In order to be eligible for a discount at one of such pharmacies, you must present the NuLifeSpan Rx App or the NuLifeSpan Rx Card in connection with each prescription.
\r\n- When you use the NuLifeSpan Rx Program, the price you pay will be the lesser of the pharmacy’s “usual and customary” price (e.g., the retail price) or our discounted price. What that means is that if the pharmacy’s pricing is better than our discounted price, there is no discount via the NuLifeSpan Rx Program.
\r\n- You should be aware that there may be other programs that offer you better pricing than the NuLifeSpan Rx Program (such as your health insurance carrier (if you have one), other programs similar to NuLifeSpan Rx, etc.). We do not guaranty that our prices are the lowest available at any pharmacy.
\r\n- The NuLifeSpan Rx Program could terminate or change at any time without notice to you. As there is no cost for you to use the NuLifeSpan Rx Program, you will not be entitled to any refund or other consideration if it does.

\r\n- If you HAVE health insurance or any other funded benefit such as Medicaid and Medicare, you can use the NuLifeSpan Rx Program for certain prescriptions that are not covered by your plan.

\r\nIn some cases, you may receive, print or download our NuLifeSpan Rx Card without registering with us or creating an account. If you request to have a card emailed, texted, or mailed to your personal device or home address, you will be required to provide us with your name, email address, home address, and/or telephone number. However the choice of law provision regarding these terms is not intended to create any other substantive right to assert claim except as provided through the Arbitration Agreement. These Terms and Conditions, together with the Privacy Policy, and any other documents or polices referenced herein constitute the entire agreement between you and NuLifeSpan Rx regarding the use of the Services and the content and services provided through the Services.

\r\nIn order to expedite and control the cost of disputes, you and NuLifeSpan Rx agree that any legal or equitable claim relating to the use of the Services or any services associated with or marketed as part of the Services (referred to as a “Claim”) will be resolved as follows:
\r\nA. Informal Resolution:You and NuLifeSpan Rx will first attempt to resolve any Claim informally. In the event that any dispute between NuLifeSpan Rx and you arises out of or relates to: (i) these Terms and Conditions; (ii) the Services; or (iii) the NuLifeSpan Rx Program, you and we agree to try to promptly resolve any such dispute informally. Please send a written notice describing the dispute to support@nulifespanrx.com.
\r\nB. Formal Resolution by Arbitration / Class Action Waiver.READ THE FOLLOWING ARBITRATION PROVISION CAREFULLY, IT LIMITS YOUR RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION. You agree that any dispute, controversy or Claim arising out of or relating to these Terms and Conditions, your use of the Services, or the NuLifeSpan Rx Program, or the determination of the scope or applicability of arbitration shall be governed as set forth below.
\r\nIf you and NuLifeSpan Rx cannot resolve a Claim informally, any Claim asserted by either party will be resolved only by binding arbitration (“Arbitration”). By agreeing to Arbitration, both you and NuLifeSpan Rx understand and agree that all processes, such as a court action or administrative proceeding, to settle disputes shall be decided by a single arbitrator and that you are waiving your rights to maintain other available resolution processes, such as a court action or administrative proceeding, to settle disputes. Instead of suing in court, both you and NuLifeSpan Rx each agree to settle disputes (except certain small claims as set forth below) only by Arbitration.
\r\nARBITRATION MEANS THAT YOU WAVE YOUR RIGHT TO A JURY TRIAL.
\r\nThe rules in Arbitration are different. There is no judge or jury, and review is limited, but an arbitrator can award the same damages and relief, and must honor the same limitations stated in these Terms and Conditions as a court would. The Arbitration will be conducted under the JAMS Streamlined Arbitration Rules Procedures (referred to as the “JAMS Rules”) and under the rules set forth in these Terms and Conditions. If there is a conflict between JAMS Rules and the rules set forth in these Terms and Conditions, the rules set forth in these Terms and Conditions will govern. In Arbitration you may seek any and all remedies otherwise available to you pursuant to the law of the governing state. If you decide to initiate Arbitration, NuLifeSpan Rx agrees to pay the Arbitration initiation fee and any additional deposit required by JAMS to initiate your Arbitration. You and NuLifeSpan Rx agree to pay the costs of the Arbitration proceedings, provided however that if you are a consumer you shall not be required to pay more than $250.00 of the fees or such amount as the JAMS Rules may later prescribe. All other fees, such as attorneys’ fees and expenses of travel to the Arbitration, will be paid in accordance with JAMS Rules. The arbitration will be held at a location in your home town area if possible, unless you and NuLifeSpan Rx both agree to another location or telephonic Arbitration. To initiate Arbitration, you or NuLifeSpan Rx must do the following things:
\r\n(1) Write a demand for Arbitration. The demand must include a description of the Claim and the amount of damages sought to be recovered. You can find a copy of a Demand for Arbitration at www.jamsadr.com.
\r\n(2) Send three copies of the Demand for Arbitration, plus the appropriate filing fee to: JAMS [to your local JAMS office] or to JAMS, 620 Eighth Ave., 34th Floor, New York, NY 10018.
\r\n(3) Send one copy of the Demand for Arbitration to the other party.
\r\nSpecial rules in the Arbitration Proceeding. (i) Except for errors of law, the arbitrator’s decision is final and binding on all parties and may be enforced in any Federal or State court that has jurisdiction. (ii) Neither you nor NuLifeSpan Rx shall be entitled to join or consolidate claims in Arbitration by or against other individuals or entities, or arbitrate any claim as a representative member of a class or in a private attorney general capacity.
\r\nTHIS MEANS THAT YOU WAIVE YOUR RIGHT TO INITIATE OR PARTICIPATE IN ANY CLASS OR CONSOLIDATED ACTION WHATSOEVER.
\r\nAccordingly, you and NuLifeSpan Rx agree that the JAMS Class Action Procedures do not apply to our Arbitration. A court may sever any portion of this dispute resolution provision if it finds such unenforceable, except for the prohibition on class, representative and private attorney general arbitrations. Notwithstanding the obligation to arbitrate all Claims under these Terms and Conditions, you may assert an individual Claim in small claims court in lieu of Arbitration.
\r\nIF YOU ARE A CONSUMER, HOWEVER, THIS PROVISION SHALL NOT BE CONSTRUED TO LIMIT YOUR RIGHTS UNDER CONSUMER PROTECTION LAWS OF YOUR STATE OF RESIDENCE AS SET FORTH IN THE SECTION TITLED “CONSUMER PROTECTION NOTICE.”
\r\nIf any provision or portion of these Terms and Conditions is held illegal, invalid, or unenforceable (in whole or in part) it will not affect the legality, validity or enforceability of any other provisions or portions of these Terms and Conditions and will be modified to the minimum extent necessary to correct any deficiencies or replaced with a provision which is as close as is legally permissible to the provision found invalid or unenforceable.
\r\nWe reserve the right, in our sole discretion, to revoke any and all privileges associated with accessing and/or using the Services, and to take any other action we deem appropriate. We may terminate or suspend your use of the Services, for no reason or any reason whatsoever, including improper use of the Services or failure to comply with these Terms and Conditions. Our failure to enforce any term or condition of these Terms and Conditions shall not constitute a waiver of any such term or condition, unless we provide such waiver expressly and in writing to you.
